Introduction

These Terms and Conditions ('Terms') govern your use of RelyBytes' services, websites, and platforms, including relybytes.com, bytepills.it, bytepills.com, and relybytes.app (collectively, 'Services'). By accessing or using our Services, you agree to be bound by these Terms.

If you do not agree to these Terms, you may not access or use our Services. These Terms constitute a legally binding agreement between you and RelyBytes Consulting.

Services Description

RelyBytes provides the following services:

• Web and mobile application development
• Cloud services and infrastructure management
• Cybersecurity and managed services (MSP)
• Artificial intelligence and automation solutions
• Marketing and growth services
• IoT solutions and integration
• Talent as a Service and recruitment services
• Technical consulting and fractional CTO services

User Responsibilities

As a user of our Services, you agree to:

• Provide accurate and complete information
• Maintain the security of your account credentials
• Use our Services for lawful purposes only
• Not to interfere with or disrupt our Services
• Not to attempt to gain unauthorized access to our systems
• Comply with all applicable laws and regulations
• Respect the intellectual property rights of others

Payment Terms

Payment terms for our services are as follows:

• Prices are quoted in EUR and are exclusive of VAT
• Payment terms are typically 30 days from invoice date
• For projects over 50% completion, payment is required in advance
• Late payments may incur interest at the legal rate
• All fees are non-refundable unless otherwise specified
• We reserve the right to suspend services for non-payment

Intellectual Property

All intellectual property rights in our Services, including software, designs, and content, remain the property of RelyBytes unless explicitly transferred.

Upon full payment, clients receive full ownership of custom-developed deliverables, excluding any pre-existing RelyBytes intellectual property.

RelyBytes retains all rights to our methodologies, processes, tools, and any intellectual property developed for multiple clients.

Confidentiality

Both parties agree to maintain the confidentiality of all proprietary information shared during the course of our business relationship.

This confidentiality obligation survives the termination of our agreement and continues for a period of five (5) years.

Warranties

We warrant that our Services will be performed with professional care and skill.

Except as expressly stated in these Terms, we make no warranties or representations, express or implied, regarding our Services, including any implied warranties of merchantability or fitness for a particular purpose.

Limitation of Liability

To the fullest extent permitted by law, RelyBytes shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of our Services.

Our total liability under these Terms shall not exceed the total fees paid by you in the twelve (12) months preceding the claim.

Termination

Either party may terminate our agreement under the following conditions:

• With 30 days written notice for convenience
• Immediately for material breach of these Terms
• Immediately if either party becomes insolvent
• Upon completion of the agreed services
• By mutual written agreement

Governing Law

These Terms shall be governed by and construed in accordance with the laws of Italy.

Any disputes shall be subject to the exclusive jurisdiction of the courts of Milan, Italy.

Dispute Resolution

We will attempt to resolve any disputes through the following process:

• Direct negotiation between the parties
• Mediation by a neutral third party
• Arbitration if mediation fails
• Court proceedings as a last resort

Changes to Terms

We may update these Terms from time to time to reflect changes in our services or legal requirements.

We will notify you of any material changes by email or by posting a notice on our website. Continued use of our Services after such changes constitutes acceptance of the updated Terms.
